Arrange your party before the fight begins. Keep Goofy in the party and swap Donald for Peter Pan. Equip each party member with as many Ethers as they can carry.
Fly toward the clock tower when the fight starts. Press "R2" to target the clock and cast Stopra on it. The Phantom cannot cast Doom if you cast Stopra on the clock. If you see the clock hands start to spin during the battle, cast Stopra again.
Look at the color of the glowing ball attached to the Phantom. If the ball is white, use physical attacks against the Phantom. If the ball is red, use fire magic. If it is yellow, use thunder and if the ball is blue, use ice.
Use the correct attack or spell against the Phantom once. The ball changes color. Attack the Phantom again with the correct spell. When the ball changes color a third time, attack it once more to stun the Phantom.
Fly far away from the Phantom before it recovers. When it recovers, the Phantom chases and tries to attack you, but misses if you flew far enough away.
Hide behind one of the clock faces if you see the Phantom approach the clock tower. The Phantom releases a heat-seeking worm that heavily damages or kills you if it touches you. If you hide behind a clock face, the worm cannot reach you.
Use an Ether if your MP runs out. If you equipped Goofy and Peter Pan with Ethers, they will use them on you. Goofy will also use his MP Gift ability to restore your MP.
Continue to attack the Phantom's glowing ball after it launches an attack at you. Repeat this process until the Phantom's health is gone.
